Agreement

This End User License Agreement is a legal agreement between the person or organization accessing Command Center and [LEGAL ENTITY NAME]. If you use Command Center for an organization, you represent that you have authority to bind that organization.

If you do not agree to this Agreement, do not access or use Command Center.

The Service

Command Center is a business operations platform for inventory, purchasing, vendors, orders, workforce, reporting, data chat, Shopify integrations, QuickBooks Online accounting integrations, and related workflows. It is intended for business use and is not a substitute for professional accounting, tax, legal, payroll, or financial advice.

License and access rights

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use Command Center for your internal business operations during the applicable subscription or access period.

You may allow authorized employees, contractors, or agents to use the Service under your organization, provided you remain responsible for their activity and compliance.

Account responsibilities

  • Maintain accurate account and organization information.
  • Control user access, roles, login credentials, passwords, PINs, and authentication methods.
  • Promptly disable users who should no longer have access.
  • Review purchases, accounting syncs, inventory changes, labor records, and reports before relying on them.
  • Ensure your use complies with laws and obligations that apply to your business.

Customer data

Customer Data means data, files, records, credentials, tokens, settings, reports, and other information submitted to, generated in, or connected through Command Center by or for you.

As between you and us, you retain ownership of Customer Data. You grant us the rights necessary to host, process, transmit, store, display, secure, back up, and otherwise operate Command Center for you, including through subprocessors and third-party integrations.

Third-party services and integrations

Command Center may connect with third-party services such as Supabase, Vercel, Shopify, QuickBooks Online, Intuit, AI providers, analytics providers, email providers, and other services you configure or authorize.

Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services, their availability, their data handling, or changes to their APIs.

If you connect QuickBooks Online, you authorize Command Center to read, create, and update accounting records according to the permissions granted and the settings configured in Command Center.

Accounting, inventory, and reporting disclaimers

Command Center may generate operational, inventory, payroll, profit, commission, COGS, purchase, or accounting reports and may create or update accounting records in QuickBooks Online.

You are responsible for verifying account mappings, transaction treatment, tax treatment, payroll treatment, inventory valuation, COGS, reconciliation status, vendor records, bills, journal entries, and reports with qualified professionals where appropriate.

Acceptable use

  • Do not use Command Center for unlawful, harmful, fraudulent, deceptive, abusive, or unauthorized purposes.
  • Do not interfere with or disrupt the Service or its infrastructure.
  • Do not bypass authentication, authorization, tenant isolation, rate limits, or security controls.
  • Do not access another customer's data without authorization.
  • Do not reverse engineer, decompile, or attempt to extract source code except as allowed by law.
  • Do not upload malware, exploit code, or intentionally harmful content.
  • Do not sell, sublicense, rent, lease, or provide Command Center as a standalone service bureau offering without written permission.

Security and confidentiality

We use reasonable administrative, technical, and organizational safeguards designed to protect Command Center and Customer Data. No system is completely secure.

Each party may receive confidential information from the other and will use it only to perform under this Agreement, protect it using reasonable care, and disclose it only as needed to personnel, contractors, advisors, subprocessors, or service providers bound by appropriate obligations.

Fees, updates, beta features, and intellectual property

If paid access applies, you agree to pay all fees described in the applicable order, invoice, checkout flow, or written agreement. Unless stated otherwise, fees are non-refundable except where required by law or expressly agreed in writing.

We may update, modify, suspend, or discontinue features. Beta, experimental, preview, and AI-assisted features may be incomplete, change without notice, or produce inaccurate output.

We and our licensors own Command Center, software, workflows, designs, documentation, trademarks, and related intellectual property. No rights are transferred except the limited access rights described here.

Data export, deletion, suspension, and termination

During your access period, you may export certain Customer Data using available Service features. After termination, we may delete or retain Customer Data according to our Privacy Policy, legal obligations, backup practices, and any separate written agreement.

We may suspend or terminate access if you breach this Agreement, create security or legal risk, fail to pay required fees, depend on unavailable third-party services, or if required by law.

Warranty disclaimer and limitation of liability

To the maximum extent permitted by law, Command Center is provided as is and as available. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and error-free operation.

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, data, accounting errors, tax consequences, payroll errors, inventory discrepancies, or third-party service failures.

To the maximum extent permitted by law, our total liability will not exceed the greater of the amounts paid by you for Command Center in the three months before the event giving rise to liability or $100.

Indemnification, governing law, and contact

You will defend, indemnify, and hold harmless us and our affiliates, personnel, contractors, and service providers from claims arising from your Customer Data, your use of Command Center, your breach of this Agreement, your violation of law, your integrations, or your users' actions.

This Agreement is governed by the laws of [STATE/COUNTRY], without regard to conflict-of-law rules. Courts located in [COUNTY, STATE/COUNTRY] will have exclusive jurisdiction, except either party may seek injunctive relief in any court of competent jurisdiction.
